These Terms of Service (“Terms”) govern your access to and use of the EchoPath website, mobile applications, and related services (collectively, the “Service”) operated by EchoPath, Inc. (“EchoPath,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By registering, you represent and warrant that you meet this age requirement and have full power to enter into these Terms.

2. Changes to Terms

EchoPath may modify these Terms at any time. We’ll post the revised Terms here with an updated “Last updated” date. Your continued use after that date constitutes acceptance of the new Terms.

3. Account Registration

  • You must create an account to access certain features.
  • Provide accurate, complete, and up-to-date information.
  • Keep your password secure; you’re responsible for all activity under your account.

4. User Content

“User Content” means any audio clips, routes, comments, ratings, or other materials you upload or post. You retain ownership of your User Content, subject to the license you grant below.

4.1 License to EchoPath

By posting User Content you grant EchoPath a worldwide, royalty-free, sublicensable, transferable, irrevocable license to host, use, reproduce, modify, distribute, and display your User Content in connection with the Service.

4.2 Your Representations

You represent and warrant that:

  • You have all rights necessary to grant the above license.
  • Your User Content does not infringe any third-party rights or violate any law.
  • User Content is not defamatory, obscene, or unlawful.

4.3 EchoPath Rights

We may remove or disable access to any User Content at our discretion, including if we believe it violates these Terms.

5. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose.
  • Harass, threaten, or harm others.
  • Upload malware or other harmful code.
  • Circumvent security mechanisms.
  • Reverse-engineer or scrape our APIs or data.

6. Paid Features & Payments

Certain routes or premium features may require payment. All fees are stated in U.S. dollars. Payments are processed via third-party providers (e.g., Stripe); by subscribing or purchasing, you agree to the provider’s terms. All payments are non-refundable except as required by law or at our sole discretion.

7. Creator Revenue Share

For paid routes and tips, creators receive 80 % of net revenues; EchoPath retains 20 %. Payouts occur monthly, subject to a minimum balance threshold and compliance with our Creator Policies.

8. Termination

  • You may delete your account at any time via the app or website settings.
  • We may suspend or terminate your account and access to the Service for any reason, including breach of these Terms, with or without notice.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ECHOPATH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHOPATH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

11. Indemnification

You agree to defend, indemnify, and hold harmless EchoPath and its affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or your User Content.

12. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or relating to them are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EchoPath regarding the Service.
